    Terms of Service

    Last updated: June 2026

These Terms of Service set out the rules for using Proffa. Please read them carefully before using the website or product.

    1. Agreement to terms

These Terms of Service govern your access to and use of the Proffa website and product. By creating an account or using the service, you agree to these terms. If you do not agree, do not use the service.

    2. The service

Proffa provides software that helps firms manage a sales pipeline, build and send proposals, collect digital signatures, and onboard clients. We may add, change or remove features over time to improve the service.

    3. Accounts and eligibility

You must provide accurate information when creating an account and keep it up to date. You are responsible for activity that happens under your account and for keeping your login details secure. You must be authorised to act on behalf of your firm.

    4. Acceptable use

When using Proffa, you agree not to:

    • Use the service for anything unlawful, misleading or harmful.
    • Send proposals, forms or messages that you are not authorised to send.
    • Attempt to access accounts, data or systems that are not yours.
    • Interfere with, disrupt or place undue load on the service.
    • Reverse engineer or resell the service except as permitted by law.

    5. Subscriptions, trials and billing

Proffa is offered on a subscription basis. We offer a 14-day free trial that does not require a credit card. After the trial, paid plans are billed in advance on a monthly or annual basis, depending on the plan you choose.

You can upgrade, downgrade or cancel at any time. Cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law.

    6. Your content and data

You retain ownership of the content and data you put into Proffa, including proposals, client records and form submissions. You grant us the rights needed to host and process that content so we can provide the service.

You are responsible for ensuring you have the right to collect and use the information you put into Proffa, including information about your clients.

    7. Intellectual property

Proffa and its underlying software, design and trademarks are owned by us and our licensors. These terms do not grant you any rights to our intellectual property except the limited right to use the service.

    8. Electronic signatures

Proffa lets your clients review and sign proposals online. You are responsible for ensuring that electronic signatures are appropriate for your use and meet any legal requirements that apply to your engagements.

    9. Disclaimers

The service is provided on an “as is” and “as available” basis. To the extent permitted by law, we make no warranties of any kind, whether express or implied, including fitness for a particular purpose.

    10. Limitation of liability

To the maximum extent permitted by law, Proffa will not be liable for any indirect, incidental or consequential loss, or for loss of profits, revenue or data, arising from your use of the service. Our total liability is limited to the amount you paid for the service in the 12 months before the claim.

    11. Termination

You can stop using Proffa at any time. We may suspend or terminate your access if you breach these terms or use the service in a way that could harm Proffa or others. On termination, your right to use the service ends, and we will handle your data as described in our Privacy Policy.

    12. Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the date at the top of this page. Continuing to use the service after changes take effect means you accept the updated terms.

    13. Governing law

These terms are governed by the laws of New Zealand, and any disputes will be subject to the courts of New Zealand, unless otherwise required by applicable law.

    14. Contact us
